On June 6, 2024, the Securities and Exchange Board of India (SEBI) established a framework for Financial Disincentives for Surveillance Related Lapses (FDSRL) for Market Infrastructure Institutions (MIIs) such as stock exchanges, clearing corporations, and depositories in the event of surveillance-related lapses in stock markets.
The framework includes a provision for MIIs to face penalties ranging from Rs 1 lakh to Rs 1 crore for any case of surveillance-related breach throughout the fiscal year.
The framework goes into effect on July 1, 2024.
Key Features:
The financial disincentives for surveillance-related lapses are determined using the total yearly income of MIIs and the number of lapses in a fiscal year.
MIIs’ framework defines market surveillance as monitoring daily market activity such as trading, margining, settlement, demat transactions, and holdings.
To monitor the behavior of market intermediaries by generating and processing alerts.
To explore trading logic, do snapshot analysis, and report any anomalous or suspicious activity.
urveillance-related failures can be divided into three types.
We monitor execution gaps: missing, incomplete, or late decisions, and regulator non-notification.
Any lapse in carrying out surveillance actions within the agreed-upon scope and timetable.
Any incomplete or failure to report surveillance-related behavior within the required time frame.
- The framework has established penalties for the first, second, and third instances of surveillance-related failures, based on the yearly turnover of MIIs.
- If MII’s annual turnover is less than Rs 1000 crore, the penalties for the first, second, and third instances will be Rs 25 lakh, Rs 50 lakh, and Rs one crore, respectively.
- If MII’s annual turnover is less than Rs 1000 crore and up to Rs 300 crore, the penalties for the first, second, and third occurrence will be Rs 5 lakh, Rs 10 lakh, and Rs 20 lakh, respectively.
- If MII’s annual turnover is less than Rs 300 crore, the penalties for the first, second, and third occurrence will be Rs 1 lakh, Rs 2 lakh, and Rs 4 lakh, respectively.
- If a penalty is imposed, the relevant MII must deposit the penalty with SEBI’s Investor Protection and Education Fund (IPEF) within 15 days.
